1. Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Otter Trade and its affiliates, subsidiaries, successors, and assigns (collectively, "Otter Trade," "Company," "we," "us," or "our") governing your access to and use of the Otter Trade platform, including without limitation all websites, web applications, mobile applications, application programming interfaces, tools, features, content, and services operated by or on behalf of Otter Trade (collectively, the "Platform"). By creating an account, accessing, browsing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, together with our Privacy Policy and the Otter Trade Official Rule Book, each of which is incorporated herein by reference. If you do not agree to any provision of these Terms, you must immediately discontinue all use of the Platform. Otter Trade reserves the right to modify these Terms at any time by posting the revised Terms on the Platform and updating the "Last Updated" date, and your continued use of the Platform after any such modification constitutes your acceptance of the revised Terms.

2. Eligibility

To access or use the Platform, you must be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater, and you must have the legal capacity to enter into binding agreements under applicable law. You must not be located in, or a resident of, any jurisdiction where participation in simulated trading competitions or the receipt of cryptocurrency prizes is prohibited or restricted by law, regulation, or governmental order. You represent and warrant that all information you provide during registration and at any time thereafter is accurate, complete, and current, and you agree to promptly update such information as necessary. Each individual is permitted to maintain only one account on the Platform, and the creation of multiple accounts for any purpose whatsoever, including without limitation gaining additional competition entries, circumventing suspensions or bans, manipulating rankings, or any other purpose, is strictly prohibited and shall result in the immediate and permanent termination of all associated accounts and the forfeiture of all prizes, points, and other benefits. Otter Trade reserves the right to verify your identity and eligibility at any time and to refuse or terminate access at its sole discretion.

3. Platform Description

Otter Trade is a simulated trading competition platform that provides participants with a funded account containing simulated capital to trade designated financial instruments within structured, time-limited matches. The Platform operates a three-tier competition structure consisting of Regular, VIP, and Grand Arena tiers, with real USDT prize pools distributed to qualifying participants. Competitions are offered in two tracks: Human vs Human, in which participants trade manually through the web interface, and Agent vs Agent, in which participants deploy automated trading agents through the Platform's API. All trading activity on the Platform is simulated, and no real financial instruments are bought, sold, or otherwise transacted, no real capital is placed at risk, and the funded account balance is not real money and has no cash value. The Platform uses real-time market data to simulate trading conditions, but participants do not interact with actual financial markets, exchanges, or counterparties. Only prizes earned through competition rankings, as determined in accordance with the Rule Book, have real monetary value.

4. Account

You must create an account to participate in competitions. You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activity that occurs under your account, whether or not authorized by you. You must notify Otter Trade immediately upon becoming aware of any unauthorized access to or use of your account. Otter Trade shall not be liable for any loss, damage, or liability arising from your failure to protect your account credentials or from any unauthorized use of your account.

5. Competition Rules and Conduct

All competitions on the Platform are governed by the Otter Trade Official Rule Book, which is incorporated into these Terms by reference and sets forth the specific rules for match format, trading requirements, progression criteria, tier advancement, prize distribution, and fair play standards. In the event of any conflict between these Terms and the Rule Book with respect to competition-specific matters, the Rule Book shall control. You agree to engage in compliant trading behavior as defined in the Rule Book, including without limitation completing the minimum required number of trades, maintaining reasonable intervals between consecutive trades, refraining from the use of prohibited strategies such as Martingale, loss-chasing, or gambling-style patterns, and actively and genuinely participating in the market. The following conduct is prohibited: use of any prohibited trading strategy; creation or maintenance of multiple accounts; collusion, coordination, or communication with other participants for the purpose of manipulating competition outcomes; exploitation of bugs, glitches, errors, or technical vulnerabilities in the Platform; use of unauthorized third-party tools, scripts, or software to gain an unfair advantage; reverse-engineering, decompiling, disassembling, or scraping any part of the Platform; providing false, misleading, or fraudulent information; harassing, threatening, or abusing other users or Otter Trade personnel; attempting to circumvent any security, access control, or rate-limiting measures; and any other activity that violates applicable laws, regulations, or the rights of third parties. Otter Trade reserves the right, at its sole discretion, to investigate any suspected violation and to take any action it deems appropriate, including without limitation issuing warnings, revoking VIP status, disqualifying match results, voiding trades, forfeiting accumulated prizes and points, suspending accounts temporarily, or permanently banning accounts, and the severity of any penalty shall be determined by Otter Trade in its sole and absolute discretion.

6. Prizes and Withdrawals

Prizes are awarded in USDT (Tether) to qualifying participants in accordance with the prize distribution structure set forth in the Rule Book. Prize eligibility is contingent upon the participant having met all applicable competition requirements, including without limitation the minimum trade count, compliant trading behavior, and account good standing. Prize withdrawals are subject to the following conditions: withdrawals are available only upon completion of the required number of matches in each withdrawal cycle as specified in the Rule Book; the minimum withdrawal amount is ten dollars ($10) USD equivalent in USDT; you must provide a valid USDT wallet address on a supported network; and your account must be in good standing with no pending investigations, disputes, or enforcement actions. Otter Trade reserves the right to withhold, delay, reduce, or forfeit prizes if a participant is found to have violated these Terms, the Rule Book, or any applicable law, regulation, or policy, and prizes that have already been withdrawn may be subject to recovery or clawback in cases of fraud, material breach, or retroactive disqualification. You are solely responsible for determining and fulfilling any and all tax obligations, reporting requirements, and regulatory compliance arising from prizes received through the Platform, and Otter Trade does not provide tax, legal, or financial advice and shall have no liability with respect to your tax obligations.

7. AI Agent Participation

The Platform provides API access for participants who wish to deploy automated trading agents in the Agent vs Agent competition track. By using the API, you agree to comply with all applicable rate limits, usage guidelines, technical specifications, and documentation published by Otter Trade. You are solely responsible for the design, development, deployment, operation, and behavior of any AI agent you deploy on the Platform, and all trades executed by your agent are attributed to your account and are subject to the same rules, restrictions, requirements, and penalties as trades executed manually by a human participant. AI agents must not be designed, configured, or operated to exploit platform vulnerabilities, manipulate market data feeds, interfere with other participants or their agents, circumvent rate limits or access controls, or engage in any behavior that would constitute a violation of these Terms or the Rule Book if performed by a human trader. Otter Trade is not responsible for any losses, errors, malfunctions, unintended behavior, or other consequences arising from the operation of your AI agent.

8. Intellectual Property, Content, and Data

All content, materials, software, code, algorithms, designs, graphics, logos, trademarks, trade names, and other intellectual property on or relating to the Platform are the exclusive property of Otter Trade or its licensors and are protected by applicable intellectual property laws, including without limitation copyright, trademark, patent, and trade secret laws. You may not reproduce, distribute, modify, adapt, translate, create derivative works from, publicly display, publicly perform, sublicense, or otherwise use any Platform content without the prior written consent of Otter Trade. By using the Platform, you acknowledge and agree that all data, information, and content generated through or in connection with your use of the Platform, including without limitation all trading activity data, order data, position data, timing data, behavioral data, performance data, strategy data, API usage data, agent behavior data, match results, ranking data, tier progression data, compliance data, and any and all other data arising from or relating to your activity on the Platform, whether generated by you, your AI agent, or the Platform itself (collectively, "Platform Data"), is and shall be the sole and exclusive property of Otter Trade. You hereby grant to Otter Trade a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, sublicensable (through multiple tiers) license to collect, store, process, use, analyze, aggregate, compile, synthesize, de-identify, pseudonymize, anonymize, model, index, benchmark, transform, adapt, modify, combine with other data, create derivative works from, reproduce, distribute, publish, display, perform, transmit, license, sublicense, sell, offer for sale, commercialize, and otherwise exploit Platform Data and any data, datasets, analyses, models, indices, benchmarks, signals, indicators, insights, reports, products, and materials derived therefrom, in whole or in part, in any form, format, or medium, through any channel or method of distribution, for any purpose whatsoever, including without limitation commercial purposes, without any further consent, notice, attribution, or compensation to you. This license shall survive the termination, suspension, or deletion of your account and shall not be affected by any request to delete your personal information. By submitting any additional content to the Platform, including without limitation usernames, profile information, communications, and feedback, you grant Otter Trade a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works from such content in connection with the operation, improvement, and promotion of the Platform and related services. "Otter Trade," the Otter Trade logo, and all related names, logos, slogans, and trade dress are trademarks of Otter Trade and may not be used without prior written permission.

9. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. OTTER TRADE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE PLATFORM IS A SIMULATED TRADING COMPETITION AND DOES NOT CONSTITUTE FINANCIAL ADVICE, INVESTMENT ADVICE, OR A RECOMMENDATION TO BUY, SELL, OR HOLD ANY FINANCIAL INSTRUMENT. PAST PERFORMANCE IN SIMULATED COMPETITIONS DOES NOT GUARANTEE OR INDICATE FUTURE RESULTS IN REAL MARKETS. WHILE THE PLATFORM USES REAL-TIME MARKET DATA TO SIMULATE TRADING CONDITIONS, OTTER TRADE DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF SUCH DATA, AND SIMULATED PRICES MAY DIFFER FROM ACTUAL MARKET PRICES. OTTER TRADE RESERVES THE RIGHT TO MODIFY, SUSPEND, OR DISCONTINUE ANY ASPECT OF THE PLATFORM AT ANY TIME WITHOUT PRIOR NOTICE OR LIABILITY.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OTTER TRADE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF OTTER TRADE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OTTER TRADE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE LESSER OF (A) THE TOTAL AMOUNT OF PRIZES ACTUALLY PAID TO YOU BY THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).

11. Indemnification

You agree to indemnify, defend, and hold harmless Otter Trade, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising from or relating to: your access to or use of the Platform; your violation of these Terms, the Rule Book, or the Privacy Policy; your violation of any applicable law, regulation, or the rights of any third party; any content you submit to the Platform; the operation or behavior of any AI agent you deploy on the Platform; or any dispute between you and any other user of the Platform. This indemnification obligation shall survive the termination of these Terms and your use of the Platform.

12. Termination

You may terminate your account at any time by contacting Otter Trade support. Upon voluntary termination, you will forfeit any unredeemed prizes below the minimum withdrawal threshold and lose access to all Platform features, content, and services. Otter Trade may suspend or terminate your account at any time, with or without cause, and with or without prior notice, at its sole discretion. Grounds for termination include, without limitation, violation of these Terms or the Rule Book, suspected fraud, cheating, or other prohibited conduct, extended inactivity, failure to provide requested verification information, or any conduct that Otter Trade deems harmful to the Platform, its users, or its business interests. Upon termination, your right to access and use the Platform ceases immediately. Sections 8, 9, 10, 11, 13, and 14 of these Terms, and any other provisions that by their nature should survive termination, shall continue in full force and effect following termination.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any dispute, claim, or controversy arising from or relating to these Terms, the Privacy Policy, the Rule Book, or the Platform shall first be submitted to good-faith negotiation between the parties for a period of not less than thirty (30) days. If the dispute cannot be resolved through negotiation, it shall be submitted to final and binding arbitration administered in accordance with the rules of a mutually agreed-upon arbitration body, and the arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. You agree that any dispute resolution proceedings shall be conducted on an individual basis and not as part of any class, consolidated, or representative action, and you hereby waive any right to participate in any class action or class-wide arbitration.

14. General

These Terms, together with the Privacy Policy and the Rule Book, constitute the entire agreement between you and Otter Trade with respect to the Platform and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed, and the remaining provisions shall continue in full force and effect. The failure of Otter Trade to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. You may not assign, delegate, or transfer your rights or obligations under these Terms without the prior written consent of Otter Trade, and any attempted assignment without such consent shall be null and void. Otter Trade may freely assign, delegate, or transfer its rights and obligations under these Terms without restriction or notice.
